Terms Of Service

1. the basics

By booking any service with LayerCake ("we," "us"), you ("client") agree to these terms. These apply to all services including The Brand Package, The Bundle, The Quick Whip, Design Day, and any custom/made to order projects.

2. the work

All projects begin with a signed proposal and deposit. Work doesn't start until both are received. The scope of work is outlined in your project proposal — anything outside that scope is a separate conversation.

3. payments

  • A 50% deposit is required to hold your project date. The remaining balance is due before final files are delivered.

  • Pay in full discounts are available and outlined in your proposal.

  • Payment plans are available for The Brand Package and The Bundle as outlined at booking.

  • Payments are accepted via invoice only. Accepted methods will be noted on your invoice.

  • Invoices are due within 48 hours of receipt unless otherwise agreed.

4. refunds

  • Deposits are non-refundable. They reserve your spot and cover initial strategy and prep work.

  • If you cancel after work has begun, you are responsible for payment of all work completed to date.

  • If LayerCake cancels your project for any reason, your deposit will be refunded in full.

  • No refunds are issued after final files have been delivered.

5. revisions

Each service includes a set number of revisions as outlined in your proposal. Revision rounds outside of what's included will be billed at an hourly rate. Revisions are not rewrites — significant changes to direction mid-project may require a revised scope and additional fees.

6. your responsibilities

You agree to provide feedback, content, and approvals in a timely manner. Delays on your end may push your project timeline back. LayerCake is not responsible for missed deadlines caused by late client feedback or content delivery.

7. ownership & intellectual property

  • Full ownership of final deliverables transfers to you upon receipt of final payment.

  • LayerCake retains the right to display all work in our portfolio, on social media, and in marketing materials unless you request otherwise in writing before project start.

  • Concepts and directions not selected remain the property of LayerCake.

  • Fonts, stock assets, and third-party elements are subject to their own licensing terms — it is your responsibility to maintain appropriate licenses after delivery.

8. confidentiality

We keep your project details private. We ask the same in return — project files, proposals, and pricing shared with you are for your use only and should not be shared publicly or with third parties.

9. timeline

Project timelines are estimates and may shift based on client feedback turnaround, scope changes, or circumstances outside our control. We'll always communicate proactively if something changes.

10. limitation of liability

LayerCake's liability is limited to the total amount paid for the project in question. We are not responsible for any indirect, incidental, or consequential damages arising from the use of our deliverables.

11. governing law

These terms are governed by the laws of the state of California.

12. changes to these terms

We may update these terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
